Each of the parties hereto irrevocably waives any objection (including without limitation any objection to venue based on the grounds of inconvenient forum), which it may not or hereafter have to the exclusive venue of any such legal action or proceeding being in such above specified courts.

No failure by us to enforce or seek remedies for violations of any terms or provision contained in these Terms of Use shall be deemed a further or continuing waiver or such term or provision or of any other term or provision. Our failure to assert any right or provision under these Terms of Use shall not constitute waiver of such right or provision in any way.
